Constitution

 

The organisation shall be known as "Freshwaters Music Harlow" trading as "Freshwaters Music."

Aims and ojectives

1) To encourage all sections of the popluation of Harlow Town, Old Harlow, and the surrounding villages in the enjoyment of live music performances promoted by the organisation

2) To provide entertainment in the form of live music, poetry and standup comedy by booking top quality professional performers on the national and international circuit

3) To ensure local people receive value for money and access to a range of performers who they would be unlikely to see at other venues in the town

4) To promote traditional as well as modern acoustic, or semi-acoustic jazz and roots music of any kind which has had an influence upon the development of "live performance" in the UK and abroad

5) To encourage local people of all ages and abilities to participate in "Music Club" activities by providing a platform for local performers, and an environment in which they may learn from others how to develop their skills as a musician, performer or technician.

6) To support and liaise with Harlow District Council and any not-for-profit, or charitable organisations promoting access to live performance in Harlow, and the surrounding area, in arranging music festivals, club and pub sessions in the area, and to co-exist with these organisations avoiding wherever possible a clash of events

7) To provide if viable, a regular monthly music club in the town of Harlow

Financial Policy
The organisation is non-profitmaking. Any profits made after payment of professional fees, room hire, advertising and administrative expenses are to be banked to enable future projects, to offset any losses on future events, to partially fund workshops which are rarely self-supporting, and to repair and renew stage and performance equipment. The organisation aims to support performers by assuring them 90% of door takings after deduction only of expenses directly resulting from the promotion of the performer. No expenses will be paid to club members without prior agreement.

Management Committee
The Management Committee is to consist of a minimum of three persons, preferably four. Committee members will be elected at an Annual General Meeting. A quorum shall consist of not less than 3 persons including one of the elected officers.

Officers
Officers of the committee, to be elected by the members are as follows: Chairperson, Secretary and Treasurer. The committee has the power to co-opt additional committee members as required.

Payments and benefits
All positions on the committee are honorary, without payment.

Annual General Meeting
The AGM shall be held annually, at least fourteen days notice being given to all committee members.

Extraordinary General Meeting
An EGM may be called at the request in writing of two or more members of the committee or the Hon. Chairperson. Members should be notified at least seven days in advance.

Winding up of the Organisation
If 75% of the committee agrees, the organisation will be wound up. Any remaining funds will be spent according to the above aims, or transferred to a local organisation with similar aims and activities.
